1. Introduction and Acceptance
These Terms of Service ("Terms") are entered into between InstaWorth Corporation ("InstaWorth," "we," "us," or "our") and you ("you" or "User") and govern your access to and use of the InstaWorth website, applications, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.
2. Definitions
- Platform means the InstaWorth website, applications, and any related services provided by InstaWorth.
- Services means the valuation services, CPA review, reports, dashboards, video calls, and related offerings provided through the Platform.
- CPA means a Certified Public Accountant registered on the Platform to provide valuation review services.
- Business Owner means a user who submits requests for valuation services on behalf of a business.
- Fees means the charges you pay for Services, as specified on the Platform at the time of your request.
- User Content means any data, documents, or information you submit to the Platform.
3. Eligibility and Accounts
To use the Platform, you must be at least 18 years old and have the authority to enter into these Terms on your own behalf or on behalf of an entity. You represent and warrant that all information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Description of Services
InstaWorth connects Business Owners with CPAs for approximate business valuations. Our Services use AI-powered analysis (including Anthropic Claude) combined with human CPA review to produce valuation opinions. Services include valuation reports, interactive dashboards, live video calls with your assigned CPA, and optional sharing of valuations with third parties.
ALL VALUATIONS, ANALYSES, REPORTS, AND INFORMATION PROVIDED THROUGH THE PLATFORM—WHETHER WRITTEN, VERBAL, VIA TEXT, PHONE, VIDEO CALL, EMAIL, OR ANY OTHER MEDIUM—ARE STRICTLY OPINION-BASED AND ARE NOT WARRANTED OR GUARANTEED IN ANY WAY. They are not formal appraisals, audits, or certified valuations. See Section 9 and 10 for important disclaimers.
5. Business Owner Terms
If you use the Platform as a Business Owner, you agree to provide accurate business and financial information, to use any valuations or opinions solely for internal decision-making (not for securities, investment, loans, M&A, legal, or tax purposes), and to comply with all applicable laws. By creating an account as a business owner, you also agree to the Business Owner User Agreement, which contains additional terms specific to business owners.
6. CPA Terms
CPAs providing services on the Platform are independent contractors, not employees or agents of InstaWorth. If you register as a CPA, you agree to the CPA Service Provider Agreement presented during CPA registration, which contains additional terms including compensation, confidentiality, and professional standards.
7. Fees and Payment
Fees for valuation services are displayed on the Platform at the time of your request. Current pricing: $499 for businesses under $3.5M in annual revenue, and $799 for businesses with $3.5M+ revenue. Post-initial valuation, sign up for dynamic, real-time valuations are offered at a monthly rate of $95. Fees are subject to change; the fee shown at checkout applies to your request.
Payment must be made via the methods accepted on the Platform (e.g., credit card, Apple Pay, ACH transfer, Cash App). Payments are processed securely through Stripe. You are responsible for any applicable taxes. If our CPAs cannot complete your valuation, you will not be charged.
8. Refunds and Disputes
If our CPAs cannot complete your valuation, you will not be charged. Otherwise, Fees are generally non-refundable once Services have been delivered. If you have a dispute regarding Fees or Services, contact us at support@instaworth.com within 30 days of the transaction. InstaWorth's determination of disputes is final.
9. Prohibited Uses
You may not use the Platform for any illegal purpose, to violate any laws, or to infringe the rights of others. You may not reverse engineer, decompile, or disassemble the Platform; interfere with its operation; or share your account credentials.
No Regulatory Compliance or Accreditation. Neither InstaWorth nor any CPA on the Platform represents compliance with or accreditation by the U.S. Securities and Exchange Commission (SEC), American Institute of Certified Public Accountants (AICPA), American Institute of Business Appraisers (AIB), Financial Industry Regulatory Authority (FINRA), or any other regulatory, accrediting, or professional body. The valuations provided through the Platform are completely non-compliant with any formal valuation standards and are not accredited by any organization. The Services are not intended for securities transactions, investment advice, or any regulated financial activities. Do not rely on our valuations for such purposes.
10. Disclaimers
100% Opinion-Based. All valuations, opinions, analyses, reports, advice, and any other information provided through the Platform—whether communicated in writing, verbally, via text message, phone call, video call, email, chat, or any other medium—are entirely opinion-based, could be completely inaccurate, and are not warranted or guaranteed in any way. They are solely approximations for internal decision-making. They are not formal appraisals, audits, legal advice, investment advice, or certified valuations.
No Accreditation or Compliance. The valuations and opinions provided through the Platform are not compliant with and are not accredited by the SEC, AICPA, AIB, FINRA, ASA (American Society of Appraisers), IBA (Institute of Business Appraisers), or any other regulatory, professional, or accrediting body. They should not be relied upon for loans, mergers, acquisitions, securities offerings, legal proceedings, tax filings, investment decisions, or any regulatory purposes. You and any third parties use such opinions entirely at your own risk.
No Liability for Reliance. InstaWorth, its officers, directors, employees, agents, and any CPAs on the Platform are not held accountable, responsible, or liable for any legal issues, business issues, financial losses, or damages of any kind arising from the use of, or reliance upon, any information, valuations, opinions, or services provided through the Platform. You acknowledge that any actions you take based on information obtained through the Platform are taken entirely at your own risk.
As Is. The Platform and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. InstaWorth does not guarantee the availability of CPAs, the timeliness of delivery, or the accuracy of any valuation. InstaWorth makes no representation that valuations will be suitable for any particular purpose.
11. Limitation of Liability
To the maximum extent permitted by law, InstaWorth, its officers, directors, employees, agents, and CPAs shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost business opportunities, business disruption, legal costs, or any other financial or non-financial losses, even if advised of the possibility. This includes, without limitation, any damages arising from reliance on any valuation, opinion, analysis, report, or advice provided through the Platform, regardless of the medium through which it was communicated.
InstaWorth shall have no financial liability or obligation to pay any fees, damages, or compensation of any kind for any claims arising from or related to the Platform or Services. You expressly waive any claims against InstaWorth for legal issues, business disputes, financial losses, or regulatory consequences arising from your use of or reliance on the Platform or Services.
12. Indemnification
You agree to indemnify, defend, and hold harmless InstaWorth and its officers, directors, employees, agents, and CPAs from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform or Services; (b) your breach of these Terms; (c) your violation of any law; or (d) any third-party claims related to your User Content or actions.
13. Intellectual Property
InstaWorth owns all rights to the Platform and its content (excluding User Content). You retain ownership of your User Content but grant InstaWorth and the reviewing CPA a license to use it solely for providing Services. You represent that your User Content does not infringe any third-party intellectual property or other rights.
14. Confidentiality and Privacy
Your use of the Platform is also governed by our Privacy Policy. You agree to maintain the confidentiality of any non-public information you receive through the Platform. Business Owner data is shared only with the assigned CPA for the purpose of providing Services.
15. Video Calls and Recording
Video calls between you and your assigned CPA may be recorded and transcribed. Transcripts may be included in your valuation report for transparency and audit purposes. By joining a video call, you consent to recording and transcription. If you do not consent, do not join the call.
16. Termination
Either party may terminate your access upon notice. InstaWorth may terminate immediately if you breach these Terms or misuse the Platform. Upon termination, you must cease using the Platform. Any outstanding Fees remain payable. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive termination.
17. Modifications
InstaWorth may modify these Terms at any time by posting updated Terms on the Platform and updating the "Last updated" date. Material changes may be communicated via email or a notice on the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in the State of Florida. You waive any objection to venue or jurisdiction.
19. General Provisions
These Terms constitute the entire agreement between you and InstaWorth and supersede any prior agreements. If any provision is held invalid, the remainder remains enforceable. InstaWorth's failure to enforce a provision is not a waiver. You may not assign these Terms without InstaWorth's consent; InstaWorth may assign freely. Neither party is liable for delays due to causes beyond its reasonable control, except for payment obligations. Electronic acceptance of these Terms is binding.
